Terms of Service

Welcome to Piply! These Terms of Service ("Terms") govern your use of the Piply website at piply.ai, the Piply web application at app.piply.ai, and our iOS and Android mobile applications (collectively, the "Service"), operated by Reuel, LLC ("we," "us," or "our"). By using our Service, you agree to these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must not use the Service. You must be at least 13 years old to use Piply.

2. Description of the Service

Piply is an AI-powered learning platform that enables users to:

  • Upload course materials (PDFs, slide decks, documents) and organize them into workspaces.
  • Generate AI-powered quizzes, flashcard sets, mind maps, deep research summaries, and assignment solutions from uploaded materials.
  • Track study sessions (solo and group), including timed sessions with audio rooms.
  • Join communities, connect with friends, participate in leaderboards, and earn achievements.
  • Play educational word games and arcade games.
  • Use free study tools (Pomodoro timer, GPA calculator, flashcard maker, study plan generator, and others) on the public website.
  • Receive study reminders and push notifications.
  • Read and highlight course materials in an integrated document reader.
  • Schedule study sessions and import timetables.

3. User Accounts

To access most features of the Service, you must create an account (via email/password, Google sign-in, or Apple sign-in). You are responsible for:

  • Providing accurate and up-to-date information during registration.
  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or abusive purposes.

4. Free and Premium Plans

Piply offers a free tier with usage limits and a premium subscription with expanded access. Key terms:

  • Free tier: Subject to monthly limits on workspace creation, resource uploads, group study sessions, and AI generation credits. Limits reset periodically.
  • Premium subscription: Available via the Apple App Store, Google Play Store, or web checkout. Premium removes or significantly increases usage limits.
  • Billing: Subscriptions auto-renew unless cancelled before the renewal date. You can manage or cancel your subscription through the App Store, Play Store, or your account settings depending on where you subscribed.
  • Refunds: Refund requests for mobile subscriptions are handled by Apple or Google per their respective refund policies. Web subscription refunds are handled on a case-by-case basis — contact support@piply.ai.
  • Price changes: We may change subscription prices with reasonable notice. Existing subscribers will be notified before any price increase takes effect on their next renewal.

5. Your Content

You retain ownership of the materials you upload and the content you create on Piply ("Your Content"). By uploading or creating content on the Service, you grant us a limited, non-exclusive, worldwide license to:

  • Store, process, and display Your Content to provide the Service to you.
  • Process Your Content through AI models to generate quizzes, flashcards, mind maps, research summaries, and other study aids.
  • Transmit Your Content to other users when you share it through communities, public courses, or shared study sessions.

This license terminates when you delete Your Content or your account, except for copies reasonably necessary for backup, archival, or legal compliance.

You represent and warrant that:

  • You have the right to upload and share any content you provide.
  • Your Content does not infringe any third-party intellectual property rights.
  • Your Content does not contain malware, illegal material, or content that violates these Terms.

6. AI-Generated Content

Piply uses artificial intelligence to generate study content from your materials. You acknowledge that:

  • AI-generated content (quizzes, flashcards, mind maps, research summaries, assignment solutions) is provided for educational purposes and may contain errors or inaccuracies.
  • You should verify AI-generated content before relying on it for academic submissions, exams, or other high-stakes purposes.
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated output.
  • AI-generated content is derived from your uploaded materials and general AI model capabilities — it does not constitute professional academic, legal, or medical advice.

7. Acceptable Use

You agree not to:

  • Use the Service to upload, share, or distribute copyrighted material you do not have permission to use.
  • Use the Service to harass, abuse, or harm other users.
  • Use the Service for any illegal purpose or to violate any applicable laws.
  • Attempt to gain unauthorized access to the Service, other user accounts, or our infrastructure.
  • Use automated tools, bots, or scrapers to access the Service beyond normal use.
  • Circumvent rate limits, usage restrictions, or paywall controls.
  • Upload malicious files, viruses, or harmful code.
  • Impersonate other users or misrepresent your identity.
  • Use the Service in a way that disrupts or interferes with other users' experience.

8. Community and Social Features

Piply includes social features such as communities, chat, friend connections, shared study sessions, and leaderboards. When using these features:

  • You are responsible for the content you post in community chats and shared sessions.
  • Community creators and moderators may set and enforce additional rules within their communities.
  • We reserve the right to remove content or restrict access to social features for violations of these Terms.
  • Your username, display name, profile photo, and study activity (e.g., streaks, leaderboard rank) may be visible to other users.

9. Audio Rooms and Recordings

Group study sessions may include audio rooms. By joining an audio room:

  • You consent to your audio being transmitted to other participants in the session.
  • If session recording is enabled by the host, your audio contributions may be recorded and stored.
  • You agree not to record, redistribute, or misuse audio from other participants without their consent.

10. Intellectual Property

The Service and its original content (excluding user-provided content), features, functionality, design, branding, and underlying technology are and will remain the exclusive property of Reuel, LLC and its licensors. This includes but is not limited to:

  • The Piply name, logo, and visual design system.
  • AI generation pipelines, algorithms, and processing workflows.
  • Free study tool implementations on the public website.
  • The gamification system, achievement designs, and game mechanics.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software without our written permission.

11. Third-Party Services

The Service integrates with third-party services. Your use of these integrations is subject to their respective terms:

  • Authentication and identity providers
  • Apple App Store and Google Play Store (mobile app distribution and in-app purchases)
  • Payment processing and subscription management services
  • Audio and real-time communication infrastructure
  • Analytics and performance monitoring services
  • Cloud hosting and AI processing providers

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate or suitable for any particular purpose.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REUEL, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, ACADEMIC HARM, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify and hold harmless Reuel, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. You may delete your account at any time by contacting support@piply.ai.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will remain in effect.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by a mutually agreed-upon arbitration provider, except that either party may seek injunctive relief in a court of competent jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
